What does Naked Sprout do?

Naked Sprout sell unbleached bamboo FSC certified toilet paper, tissues and kitchen roll directly to consumers. Delivered to your door by our carbon neutral delivery partner DPD, products are available on a subscription or as an individual purchase. 

Who is Naked Sprout?

Naked Sprout was founded in 2020 by husband and wife team Leila and Tom, with warehouses in Dorset. We have had over £2 million pounds worth of sales since our launch. Naked Sprout is majority female owned and operated and is proud to be a certified B Corp. Sprout is our adorable spaniel – she is 5 years old and like all spaniels loves walks, ball games and getting into mischief.

Why is Naked Sprout crowdfunding?

In order to make a difference to the planet we need to reach as many customers as possible as quickly as possible. Up until now we have been owner operated but we are looking to expand our team and our abilities in order to give more people the most sustainable tissue product options on the market.

We chose crowdfunding as we would love to give our customers and community the opportunity to join our mission and become a part of Naked Sprout’s journey.

What is equity crowdfunding?

Equity crowdfunding is the process whereby people (i.e. the ‘crowd’) invest in an unlisted company (a company that is not listed on a stock market) in exchange for shares in that company. A shareholder has partial ownership of a company and stands to profit on an Exit Event (i.e. IPO, merger or sale) should the company continue to perform well and increase in value. The opposite is also true, so if the company fails investors can lose some, or all, of their investment.

Who are Seedrs?

Seedrs is a crowdfunding platform that enables companies to issue shares and raise money from a wide range of everyday and experienced investors. If you invest in Naked Sprout, Seedrs will be the company that organises this and then manages the shareholding afterwards, on your behalf.

Does pre-registering commit me to investing?

No. Pre-registering simply means you’ll be given the first opportunity to invest in Naked Sprout when we formally launch our share offering. This is a big advantage because we are operating on a first-come, first-served basis and there's limited equity available.

Will there be early access for customers?

Yes, those that pre-register who are customers will have first access to invest followed closely by customers who haven’t pre-registered. As we are expecting things to move fast it is important to pre-register to get early access.

When will the campaign go live?

We will be launching the campaign week commencing 4th of July. Once you’ve pre-registered your interest, keep an eye on your inbox for the latest launch date information.

How are you different from your competitors?

It’s great to have a choice of sustainable products available in the tissue market. We all hope that this will drive the larger market leaders such as Andrex and Cushelle to make more sustainable choices in their products and manufacturing. Each brand has their own USP and we have chosen to focus on the sustainability and the manufacturing process of our products. 

Tissue products contain unnecessary harsh chemicals to whiten them, and the manufacturing process is notoriously energy intensive, meaning lots of C02 is produced. Most companies now offset at least some of their C02 and this is great – we have focused however on reducing its production in the first place. Here is a summary of how we achieve this:

By producing unbleached/unwhitened products – we are cutting out the manufacturing of:

* the chemicals used to whiten tissue products

* the transportation involved in getting the chemical products to the factories

* the process of whitening the tissue products themselves and associated energy/raw material consumption

By using bamboo we are helping to avoid deforestation. Bamboo is a super plant – you can read more about why we love bamboo here.

Our factory operates entirely on renewable energy. It has its own biomass boiler – fuelled by forest waste such as fallen branches and leaves from cleaning local forests which prevents wildfire, and solar farm. You can read more about this here.

By reducing our toilet paper from 3 plies to 2 plies – whilst maintaining the same paper thickness – we have kept the quality of our rolls, whilst reducing the energy consumption by 33%.

I have already invested in a competitor company – why should I invest in Naked Sprout?

Please refer to the answer above. The choice is entirely yours. We hope that you will see in giving consumers more choice – we are all helping to disrupt the traditional toilet roll industry and making the biggest impact.

How have you calculated your valuation?

Our valuation is based on using a weighted average of several company valuation methods - which is considered to be best practice, as looking at the business from different perspectives results in a more comprehensive and reliable view. The methods used includes qualitative methods (the scorecard and checklist methods) and quantitative methods (venture capital and discounted cashflow methods) which are compliant with IPEV (International Private Equity Valuation) guidelines. Who else has invested in Naked Sprout?

We haven’t had any external investment or loans to date. This is the first opportunity to become one of our shareholders and support our vision.

So if you haven’t had any investment to date do you have a lot of debt then?

No – we don’t currently have any debt other than normal trade creditors. 

What will you spend the investment on?

We plan to spend the proceeds on:

*Increasing sales and marketing spend to accelerate growth and increase market share 

*Investing in operational efficiency inc. stock management and forecasting 

*Product development inc. PAS carbon neutral certification and development of new product lines 

When and how will I see a return for my investment?

As a shareholder, you will own part of Naked Sprout. Financially, this means that you will share in the financial success of the business when there’s an exit event, like the sale of the company or an IPO, or when dividends are paid. These aren’t guaranteed outcomes and all investment is made at your own risk.

Is there a minimum investment amount?

You can invest from as little as £10

Can I sell or transfer my shares?

Due to the nature of private companies, the shares you own are inherently illiquid - you'll only be able to sell and realise a return if a liquidity event occurs, such as the business being acquired, a listing on a share exchange or a secondary share sale event. What happens after I invest?

Once the pitch reaches its target and closes to further funding, the completion process starts. At that point, all investors will receive a copy of the Articles of Association via email and then electronic share certificates are issued.
